SUMMARY: Dissolution and Liquidation of the sole proprietorship of the abolished Prefectural Department of Xanthi with the name "Tourism Promotion and Cultural Development Company of Xanthi Prefecture" and the distinctive title "NETAX".

 

In Komotini today, June 20, 2011 , Monday at 1:00 p.m. , in the conference room of the Regional Unit of Rodopi, in the presence of the Regional Governor Aristides Giannakides, the Deputy Regional Governors: Xanthopoulos Ioannis, Regional Governor of Drama, Nikolaos-Mavranezoulis Georgia, Regional Governor of Evros, Granas Archelaus, Regional Governor of Kavala, Karalidis Fotis, Regional Governor of Xanthi and Damianidis Pavlos, Regional Governor of Rodopi, who were legally summoned in accordance with article 167 par. 4 of Law 3852/2010, the Regional Council of Eastern Macedonia and Thrace convened in a public regular session following the 1884/7-6-2011 written invitation of its President, which was served on each Regional Councilor, in accordance with article 167 par. 2 of Law 3852/2010.

The duties of the official secretary were performed by the employee of the Region of Eastern Macedonia and Thrace, Ms. Katsikoudi Eleni.

After a quorum was established because out of a total of 51 members, 48 members were present, the discussion of the items on the agenda began.

Introducing the ninth item on the agenda, the Deputy Regional Governor of the Regional Council of Xanthi, Mr. Karalidis Fotis, brought the following to the attention of the members of the Regional Council of Eastern Macedonia and Thrace:

   By virtue of article 198 of Law 3852/7-6-2010 Government Gazette 87 A (KALLIKRATIS PROGRAM), the Region automatically assumes all the rights and obligations of the abolished Prefectural Governments with regard to their businesses.

Article 199, paragraph 1, Law 3852/2010 stipulates that, from the commencement of operation of the Regions, existing pure enterprises of the Prefectural Governments are abolished, dissolved and placed under liquidation. The fulfillment of their purposes is carried out either by enterprises in which the Region participates, or by the Region itself by assuming their rights and obligations. For the dissolution of the above enterprises, the relevant decision of the Regional Council is taken within six months from the establishment of the new regional authorities.

The Sole Proprietorship of the abolished Prefectural Department of Xanthi with the name " Tourism Promotion and Cultural Development Company of the Prefecture of Xanthi" and the distinctive title "NETAX" was established by decision no. 194/10-10-2000 of the Prefectural Council of the Prefecture of Xanthi (Government Gazette 1310/Β'/30-10-2000) and by decision no. 209/12-5-2003 its statutes were reworded, adapted and amended. (Government Gazette 642/Β'/23-5-2003). The above enterprise is a Legal Entity of Private Law and is governed by the rules of the private economy (article 76 of P.D. 30/1996 & P.D. 331/5.1.1996). According to article 198 of law 3852/2010, the AMTH Region assumed from 1-1-2011 all the rights and obligations of the abolished Prefectural Department of Xanthi with respect to the enterprise. Given:

A) the regulations of the provisions of article 199 as cited above, as well as the fact that,

B) There is no stable financial framework to cover the operational needs of the business

C) There is an overlap of the statutory purposes of the body with other services,

The Board of Directors of the above-mentioned pure enterprise has decided that there is a serious reason for its dissolution and its placement under liquidation. This dissolution is carried out in compliance with the aforementioned provisions of article 199 of Law 3852/2010 and the articles of association of the enterprise.

   Upon its dissolution, the company is placed under liquidation, which is carried out by liquidators appointed by the Regional Council. With the appointment of liquidators, the authority of the members of the Board of Directors ceases, as does the authority of the auditors. The appointed liquidators must, as soon as they take up their duties, take an inventory of the company's assets, collect claims, liquidate its assets and pay its debts. The remaining assets are transferred to the AMTH Region. The liquidation accounts are approved by the Regional Council, which also decides on the discharge of the liquidators from all liability.

 

       Considering the above, we recommend:

1.    The decision to dissolve the Prefectural Public Utility Company of the abolished Prefectural Department of Xanthi under the name "Prefectural Mosquito Control Center of Xanthi Prefecture" and place it under liquidation.
2.      Taking into account the legal claim of three (3) former employees of the company for permanent employment
3.       The definition of liquidators.

 

   The Regional Council of Eastern Macedonia and Thrace, after a dialogical discussion and taking into account the provisions of articles 198 and 199 of Law 3852/2010.

                      DECIDES UNANIMOUSLY

   Approves:

   1. The solution of the pure Enterprise of the abolished Prefectural Department of Xanthi with the name "Tourism Promotion and Cultural Development Company of Xanthi Prefecture with the distinctive title "NETAX".

2. The placement in liquidation of the pure enterprise of the abolished Prefectural Department of Xanthi with the name "Tourism Promotion and Cultural Development Company of Xanthi Prefecture with the distinctive title "NETAX".

3. The appointment of liquidators.
